CHARTER OF AZERBAIJAN SOCIETY FOR THE PROTECTION OF ANIMALS
 
GENERAL PROVISIONS
ARTICLE 1

The Animals Protection Public Union, hereinafter referred to as The Society, is a self-Administrated, non-governmental, charitable public organization which aim is to take care of animals' welfare, acting under the constitution of the Azerbaijan Republic, and the present Charter.

ARTICLE 2

The main objects of the Society are as follows:

2.1. Educating the population, especially the younger generation, in the spirit of mercy for animals and caring for their well-being;

2.2. Assisting the people, associations, enterprises, and institutions in complying with the requirements of legislation and principles of morality aimed to protecting animals from cruelty;

2.3. Developing high standards of behavior with regard to human-animals relations;

2.4. Assisting citizens of Azerbaijan, enterprises, institution and organizations in provision of proper keeping of pets, as well as wild animals, which have been legally taken from natural environment;

2.5. Carrying out international cooperation aimed at strengthening peace and friendship between nations for the welfare of life on Earth, taking part in joint human efforts for animals' protection.

ARTICLE 3

To make it possible for citizens to realize above described objects, the Society joints individuals, working groups of enterprises and associations, public organizations, art unions, state institutions, and public representatives.

ARTICLE 4

Participation of citizens, associations, state and public organizations, associations, enterprises and institutions, apart from being a member of the Society, is provided by public discussions of its plans, projects, programs and measures, providing broad information on resolutions and results of completed activities, democracy of the organization and operation of all its divisions.

ARTICLE 5

The Society acts in cooperation with ministries, authorities, state governmental and management institutions, public organizations with a view to realize principles of humane treatment of animals.

OBJECTS AND FUNCTIONS OF THE SOCIETY
ARTICLE 7

To reach the objects set forth in Articles 1 and 2 hereof, the Society shall:

7.1. Submit proposals and comments to the Supreme Council and other legislative and executive bodies of the Republic on legislative acts providing animals protection;

7.2. participate in providing legal support of animals, technical recommendations for economic solutions related to deployment and development of labor power, capital construction facilities in cities and other populated areas, trying to achieve that the interests of proper keeping and protection of the animals are properly taken into account in the legislative acts;

7.3. develop and realize public programs and plans of measures aimed at citizens' attitude development and teaching ways of proper treating of animals, creation of organizational of state and material conditions to enhance animals keeping and strengthening animal protection;

7.4. assist the development of public opinion for supporting measures connected with improvements to animal keeping and protection, and bring this opinion to notice bodies and broad masses;

7.5. prepare, produce and distribute public materials of methodical, informative, and popular scientific nature, popularize moral and legal basics of methodical, informative, and popular scientific nature, popularize moral and legal basics of humane attitude to animals, broadly annunciate advanced experience related to the subject, distribute medical, veterinary, biological and legal knowledge necessary for developing culture of animals treatment during their use, keeping and protection, and utilize mass media for this purpose;

7.6. have a right to run own publishing business, have own printing facilities for issuing newspapers and magazines, books and other printed matter;

7.7. support all forms of state, cooperative and public activities aimed at creating good conditions of animal keeping and their protection in cities and other populated areas, contribute to rendering services connected with animals keeping and protection to citizens, enterprises, institutions and organizations, as well as carry out own trade and production business in this field;

7.8. organize participation of citizens, enterprises, institutions and organizations in actions for improvement of animals keeping and protection, take care of animal genetic fund preservation and recreation;

7.9. carry out in accordance with established procedure consultations, seminars, conferences and other public actions for improvement of animals keeping and protection, development of the corresponding attitude of people personnel of enterprises, institutions and organizations, and for development of measures aimed at regulating animals keeping and protection;

7.10. carry out surveys, public investigations, examinations, inspections, gather information on problems of people attitude to animals, scientifically summarize and analyze existing experience, submit for state bodies and public consideration conclusions and suggestions and regarding strengthening material and moral principles of animal keeping and protection;

7.11. carry out through public inspection for animals protection monitoring for observing requirements animals keeping and protection by citizens, enterprises, institutions and organizations, take measures to stop improper, cruel treatment of animals, cooperate with law-enforcement bodies and local authorities in calling to account persons who is guilty of serious infringement of animal keeping and protection rules;

7.12. contribute to development and introduction of models to reduce and substitute animals in experiments;

7.13. encourage citizens of Azerbaijan and other countries, labor group of enterprises, institutions and organizations that have provided assistance for the Animals Protection Public Union in fulfilling its tasks, institute for these purpose diplomas, badges, certificates and prizes.

ARTICLE 8

8.1. in order to assist citizens, enterprises, institutions and organizations in provision of proper animals keeping and protection, carrying out corresponding educational activities, creation of material resources for this purpose, the Azerbaijan Animals Protection Society creates self-financing enterprises, cooperative organizations, funds and other self-operating enterprises, institutions and organizations;

8.2. in order to provide veterinary service including urgent servicing, treatment, keeping and prophylaxis of animals' diseases, can have own charity veterinary centers, houses for outcast animals treatment and keeping, and own urgent veterinary service;

8.3. the Society can establish children's organizations to promote activities for developing charity and kindness to environment in younger people.

ARTICLE 9

The Society can establish public inspection for animals' protection and regulations on it in order to hold public inspection for compliance with requirements of proper keeping and protection of animals.

MEMBERS OF THE SOCIETY, THEIR RIGHTS AND OBLIGATIONS
ARTICLE 10

Members of the Society can be citizens of Azerbaijan and foreign citizens, working groups of enterprises, institutions and organizations, recognizing the Charter of the Society, setting an example of humane animal treatment, supporting realization of the Society's objects through their work or by material means, and paying member's fee at a regular basis.

ARTICLE 11

Members of the Azerbaijan Animals Protection Society have the right:

11.1. to take part in forming the central and local organizations of the Society and in its work;

11.2. with the Society assistance, to have privileges, take advantage of services for purchasing, selling, keeping, using and protecting animals;

11.3. to elect and to be elected to the Society managing bodies;

11.4. to submit proposal on enhancement to the Society activity, organization of animals keeping and protection, and to demand them to be considered by the Society organizations.

ARTICLE 12

Members of the Animals Protection Public Union are bound:

12.1. to set examples of human and civilized treatment of animals;

12.2. to observe the rules of human keeping, usage and protection of animals;

12.3. to support realization of the Society objects through their own work or by material means to pay member's fees;

12.4. to carry out explanatory activities among people and to counteract actively to any evidences of cruelty to animals.

ARTICLE 13

To become a member of the Society one shall submit a personal or a group application for the name of the President or the First Vice-President of the Society.

The admission fee shall be 5000 Manats (or in other currency which is used within the territory in accordance with official exchange rate).

ARTICLE 14

Pupils of primary schools, orphan children no one to take care of them, disabled persons, and soldiers of Azerbaijan Army are released from member's fee. The other members of the Society shall pay annual member's fee in amount of 5000 Manats.

ARTICLE 15

For infringement of the present Charter, legal norms and morals connected with animals keeping, usage and protection, the following penalties can be imposed to the members of the Society: reproof, rebuke, exclusion from the Society.

FUNDS OF THE SOCIETY
ARTICLE 16

Funds of the Society comprise:

16.1. Admission fees of the members of the Society;

16.2. Annual fees of the members of the Society;

16.3. Funds received from cash and prize lotteries, auctions, sports competitions, trade exhibition, public presentations of artworks, concerts, performances and other public events;

16.4. Funds earned by citizens especially for the Society during public works on a voluntary basis;

16.5. Funds received in accordance with established procedure from distribution of the Society's issues, as well as deductions from the profit of Society's trade and production enterprises;

16.6. Deductions on a contract basis from profit of state enterprises producing customs good and souvenirs with symbolic and the emblem of the Society;

16.7. Charity and optional contributions of the citizens of Azerbaijan and foreign citizens state, cooperative, and public enterprises and organizations, as well as legal entities of foreign countries, and valuable presents.

ARTICLE 17

The Society builds its relationships with the budget in accordance with legislation in force.

ARTICLE 18

The Society may have in its possession domestic animals and lawfully kept wild animals, buildings, constructions, transport and communication means, literature and art works, cultural valuables, collections, as well as other movable property and real estate.

ARTICLE 19

Cash means and other material means that are in possession of the Society shall be properly accounted for the purpose of the Society's tasks and functions execution in accordance with the programs adopted.

ARTICLE 20

Cash means of the Society shall be distributed on the following basis: 80% of means shall remain in municipal, regional, and other organizations of the Society, and less than 20% shall be deducted to the Azerbaijan Animals Protection Society and spent for:

20.1. Realization of the republic and local programs of the Society;

20.2. Foundation of enterprises and organizations contributing in realization of the Society's objects;

20.3. Development of material and machinery basis of institutions of different profile connected with animals keeping, aiding, and usage;

20.4. Helping single and elderly people having animals in charge;

20.5. Helping orphan children being brought up in a children's home in keeping and creation of necessary conditions for keeping and protection of animals;

20.6. Helping disabled persons, soldiers of Azerbaijan Army who has been heavily wounded, who has lost sight, families of those who died at the front, in acquiring, proper keeping and protection of animals;

20.7. Carrying out surveys, developing programs and other measures aimed at studying relations between people and other creatures;

20.8. Provision of current activity of the Society;

20.9. Development of current activity of the Society;

20.10.Encouraging people who have made considerable contribution to realization of objects and tasks of the Society;

20.11.Other animals protection needs.

MANAGING BODIES OF THE SOCIETY
ARTICLE 21

The supreme managing body of the Society shall be the Republican Congress (Conference) of the Society. Scheduled congresses shall be summoned at least once per five years.

An extraordinary congress of the Society can be summoned upon the decision of the society managing bodies as well as upon the request of not less than 1/3 of municipal and regional organizations.

Rates of representation and delegate election procedure shall be determined by the Society Board on the basis of consultations with municipal and regional organizations of the Society.

ARTICLE 22

Republican Congress of the Society shall:

22.1. Hear and approve reports of the Board and Auditing Committee of the Society;

22.2. Revise. Amend and approve the Charter of the Society in accordance with proposal of the Board of the Society by open simple majority vote;

22.3. Determine main tasks and main directions of activity of the Society;

22.4. Elect by open simple majority vote the President of Society, the Board and the Auditing Committee of the Society for the period of five years;

22.5. Consider the question of reorganization and liquidation of the Animals Protection Public Union;

22.6. Consider other questions.

ARTICLE 23

The Board shall be elected in a number approved by the Congress.

The Board shall:

23.1. Elect Vice-presidents of the Society for the period of the years by open simple majority vote;

23.2. Organize and audit execution of the Society Republican Congress resolutions;

23.3. Manage the Society's lower enterprises, institutions and organizations;

23.4. Consider and approve a profit and expense estimate of the Society, audit execution, develop and approve its working plans and programs, annual finance plan, as well as reports on their completion;

23.5. Represent the Society in its relations with state and public organizations and citizens as well as international organizations and citizens;

23.6. Adopt decisions on establishing and liquidation of the Society's enterprises and organizations;

23.7. Confirm appointments of the chief editors of the Society's printed editions, directors of the Society's lower enterprises and organizations, deputy directors upon presentation by the President or the First Vice-President of the Society;

23.8. Confirm the structure, staff, estimate of running cost for the Board management personnel and the Society's lower enterprises, institutions and organizations;

23.9. Approve corresponding regulations and instructions.

ARTICLE 24

The Board sessions shall be called as required but at least once a year. The Board shall have the right to adopt decisions at presence of at least two thirds of its members. Simple majority of members attending the session shall adopt the resolutions of the Board, by open vote.

ARTICLE 25

The Board shall have the right case of need t affiliate or exclude members from the board.

ARTICLE 26

Under the Society Board, from among the active members, there shall be created commissions by the main directions of the Society activity.

ARTICLE 27

The President of the Society or the First Vice-President on behalf of the Society shall open accounts in national and foreign currency in the offices of the National Bank of the Azerbaijan Republic, other credit institutions for collecting incoming money from citizens and organizations, close them if necessary in accordance with legislation of the Azerbaijan Republic and the present Charter;

Adopt a decision on membership in the Society upon producing a member's fee and annual fee receipts, issue member's certificates;

Command the property of the Society; enter into different deals and legal actions;

Approve the structure and staff arrangements of the main management personnel of the Society and its organizations in regions, determine management personnel number, labor repayment terms including amounts of bonuses of all kinds, allowances, supplements for efficient work of the Society personnel;

Audit work of the Board management personnel;

Use the right of hiring and dismissing of workers

Sign financial documents, together with chief accountant;

Issue trusts deeds.

ARTICLE 28

Audit committee of the Society shall:

28.1. Audit financial and economic activity of the Board of the Society, its management personnel and local bodies;

28.2. Audit condition of resources and records keeping;

28.3. Inspect the terms and accuracy of case processing by the Board management personnel, processing of correspondence, people's proposals and claims.

THE SOCIETY ORGANINIZATION
ARTICLE 29

In cities and regions of the Azerbaijan Republic, the municipal and regional organizations of the Society shall be established. In the cities and regions of Azerbaijan, children's organizations of the Society shall be established and shall operate in order to activate working with younger people.

LEGAL STATUS OF THE SOCIETY
ARTICLE 30

The Animals Protection Public Union is a legal entity. In accordance with its tasks and the object to provide charity work of the Society in compliance with the legislation of the Azerbaijan Republic, it shall have the right both within Azerbaijan Republic and abroad to:
- enter in any kind of deals and other legal acts;
- build as well as provide the construction at its own account of facilities for industrial, social, and cultural purpose;
- acquire and lease out ancillary facilities necessary for carrying out its activity, as well as different real estate and moveable property;
- act as a prosecutor or defendant in courts and arbitration tribunals;
- establish enterprises, institutions and organizations, have its own printed issues, set prices for goods and services of lower enterprises, for tickets for cultural events; as well as participate in different enterprises and organizations which activities correspond to the objects of the Society.

Municipal and regional organization can have the rights of a legal entity.

ARTICLE 31

The Animals Protection Public Union has a round seal, a stamp, corporate blanks, settlement and transaction accounts in national and foreign currency in offices of the National Bank of Azerbaijan.

ARTICLE 32

The Animals Protection Public Union shall have the right to be liquidated upon decision of the Republican Congress of the Society on proposal submitted by the two thirds of total number of the Society members and according to procedure established by legislation of the Azerbaijan Republic concerning social organization. Upon the decision of liquidating committee the property of the Society shall be disposed in compliance with the Charter.

ARTICLE 33

The Board of Animals Protection Public Union is situated in Baku city.
